The corporate & commercial team at Thomson Snell & Passmore is very commercial in its approach, taking time to understand their clients’ objectives and dedicated to achieving the best results for its clients.

Commercial contracts

Our commercial contract lawyers advise clients across the UK on high-value, complex, and strategically important business relationships with customers, suppliers, and partners. We support clients throughout the negotiation process to ensure agreements are carefully structured, commercially sensible, and legally robust. Our focus is on managing risk effectively so that the final contract protects the business while still allowing positive and productive commercial relationships to develop.

We regularly advise on agency, distribution, supply of goods and services, purchase agreements, and manufacturing contracts tailored to different industries. We also work on franchising, outsourcing, research and development, technology, IT, ecommerce, and collaboration or joint venture agreements. In addition, we assist with sponsorship, marketing, logistics, confidentiality and exclusivity agreements, as well as contract amendments, variations, novations, and terminations.

Data & privacy issues

We understand that information and data are now critical to the success of most organisations, and that all businesses are affected by how they collect, use, and manage personal data. It is essential that the data an organisation gathers is handled safely and lawfully so it can be effectively used, shared, and, where appropriate, commercialised. This also includes ensuring appropriate protections are in place for employees and other individuals whose data is processed.

Our commercial lawyers advise clients on GDPR and wider data protection compliance, including audits, policies, procedures, and contractual arrangements. We also assist with privacy policies, data sharing agreements (UK and international), data subject access requests, and data breaches. In addition, we advise on employment-related data issues, PECR and e-marketing, cookies policies, and social media matters.

Intellectual property

We understand that intellectual property (IP) is a valuable business asset that must be carefully protected, managed, and commercialised depending on the circumstances. Our team has experience in a wide range of non-contentious IP matters, including assignments, licensing, IP audits, and support in corporate transactions involving intellectual property. We also advise on protecting and enforcing IP rights, as well as resolving disputes when issues arise.

Our work includes brand protection, trade marks, designs, patents, copyright, database rights, and trade secrets or know-how. We regularly assist with licensing arrangements, IP assignments, joint research and development projects, and joint ventures involving innovation. In addition, we advise on confidentiality agreements (NDAs), infringement issues, reputation management, and social media-related IP concerns.

Technology, IT & outsourcing

We act as trusted advisors to a wide range of clients, from start-ups to national and international organisations. Our team provides practical, commercially focused advice on a broad range of technology and IT-related legal issues.

We regularly advise on outsourcing arrangements, including IT support, managed services, and transaction processing solutions. We also support clients with software development, licensing, maintenance agreements, website development, hosting, and cloud services.

Our expertise includes online terms of business, privacy policies, data protection, intellectual property in website content, and protecting digital assets from infringement or copying. In addition, we advise on domain name issues, ecommerce, acceptable use policies, cybersecurity, and emerging workplace technologies.
