Joanne Gallagher

Joanne Gallagher leads the Corporate practice at Thomson Snell & Passmore, advising founders, shareholders, investors, management teams and private companies on UK and international mergers and acquisitions (M&A), private equity investments and strategic corporate transactions. Acting on both buy-side and sell-side mandates, she helps ambitious businesses achieve their growth, investment, acquisition and exit objectives.

Her practice focuses on domestic and cross-border acquisitions and disposals, management buy-outs and buy-ins, joint ventures, shareholder arrangements, corporate restructurings, acquisition finance and employee ownership transactions. Joanne is frequently instructed alongside accountants, corporate finance advisers, lenders and international legal teams to deliver complex transactions involving multiple stakeholders and jurisdictions.

Recognised for combining technical excellence with commercial judgement, Joanne is a trusted adviser on strategic corporate transactions. She develops long-term relationships with founders, shareholders and management teams, advising businesses throughout their lifecycle – from acquisition and investment through to succession planning and exit. She is particularly experienced in supporting acquisitive businesses through buy-and-build strategies and advising on transformational corporate events.

As Head of Corporate, Joanne has led the continued growth and development of the firm’s Corporate practice, advising on increasingly complex UK and international transactions. Her experience spans sectors experiencing significant investment and M&A activity, including but not limited to food & drink, technology, healthcare, manufacturing and business services. Under her leadership, the team continues to build its reputation for delivering partner-led, strategically focused advice on sophisticated corporate transactions.

Alongside advising on many of the firm’s most significant domestic and international transactions, Joanne is recognised for her collaborative leadership, having successfully grown and developed the firm’s Corporate practice.

Her accolades include Corporate Lawyer of the Year at the Insider Dealmakers Awards and being shortlisted in the Collaborative Leadership category at the Women, Influence & Power in Law Awards.

Joanne has led teams advising on numerous award-winning corporate transactions recognised by leading industry awards, reflecting the firm’s reputation for delivering sophisticated M&A and strategic corporate advisory work.

Education

Joanne read Business Law (LLB Hons.) in London where she undertook specialist subject options of Corporate Finance Domestic and International, before studying for her professional qualifications at the College of Law.

She qualified as a solicitor in 1994, became a Partner in 2006 and was appointed Head of Corporate in 2017. She also served for six years (2020-2026) on the firm’s Management Board, contributing to the firm’s strategic growth and development.
