Luke Guinan

Luke joined Thomson Snell & Passmore in 2019 following completion of his studies, before qualifying into the firm’s Corporate Department in 2022.

Luke now leads the Corporate Governance team, supporting clients in the mid-market space to ensure their businesses are structured and governed in-line with their commercial objectives as well as compliant within an ever-evolving legal landscape.

Luke advises business owners, shareholders and directors on a broad range of business structures and their governing documents and enjoys working collaboratively with clients to guide them through complex legal matters to achieve their goals.

a US-based private equity backed, digital infrastructure group, on its acquisition of a UK-based international digital technology training group.

Advised long-term client Nurture Landscapes

on a number of both share and business acquisitions.

Assisted with the English law elements needed to facilitate the transfer of a UK company

from a Netherlands-based parent to one based in Luxembourg.

Advised on a share capital restructuring

Including the re-classification of shares, updates to Articles of Association and the introduction of a shareholders agreement.

Advised on the strategic acquisition of a business

Holding new intellectual property complementary to the client’s growth.

Advised a corporate group on a share purchase to assist in resolving a complex dispute

before assisting with the sale of the shares of the company.

Education

Luke studied History at the University of York, graduating in 2017. He went on to complete the Graduate Diploma in Law and LPC MSc in Law, Business and Management at the University of Law, achieving a commendation and distinction respectively.

Following completing his studies, Luke joined Thomson Snell & Passmore in 2019 where he carried out his training contract before qualifying into the Corporate & Commercial team in 2022.
