Rachel Macmillan

Rachel is a Corporate / M&A lawyer at Thomson Snell & Passmore, advising on a broad range of corporate matters including mergers and acquisitions, employee ownership trusts, joint ventures, management buy-outs and corporate reorganisations. Rachel joined the firm’s Corporate team as a paralegal in July 2021 before commencing her training contract in March 2022 and qualifying as a solicitor in March 2024.

Rachel has experience advising on a variety of mid-market domestic and cross-border transactions, acting on both buy-side and sell-side deals. She works with private companies, owner-managed businesses, private equity investors and individual shareholders, providing practical and commercially focused advice throughout the transaction lifecycle. She supports clients throughout the M&A process, including providing advice on heads of terms, coordinating legal due diligence, managing disclosure processes and supporting clients through to completion. Rachel regularly collaborates with accountants, corporate finance advisors and tax specialists to help deliver transactions efficiently and achieve clients’ commercial objectives.

Rachel has advised businesses across a wide range of sectors, including food and drink, manufacturing and technology. Her cross-sector experience enables her to quickly understand the commercial drivers behind each transaction and provide advice that is tailored to her clients’ businesses, objectives and long-term strategic priorities. Rachel is known for her collaborative and approachable style, working closely with clients and their advisors to deliver pragmatic, commercially focused solutions and help transactions progress smoothly.

In addition to transactional work, Rachel advises on group reorganisations, management buy-outs and employee ownership transactions, supporting businesses with restructuring and simplifying corporate group structures.
